1. Agreement

These Terms of Service ("Terms") govern your access to and use of SoliContrax ("SoliContrax," "we," "us") and our website, application, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy (including our Cookie Policy section).

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

If you have a separate written agreement with us (such as an enterprise or data-processing agreement), that agreement controls to the extent it conflicts with these Terms.

3. Use of the Service

You may use the Service only for lawful business purposes related to government contracting and proposal development. You are responsible for:

• The accuracy and legality of information you submit.
• Compliance with applicable procurement rules, export controls, and confidentiality obligations.
• Reviewing all AI-generated content before submission to any government entity or third party.

You must not:

• Upload classified information, Controlled Unclassified Information (CUI), or other data you are not authorized to process in the Service.
• Upload malware, unlawful content, or material you do not have the right to use.
• Attempt to bypass security, access another user's data, or abuse credits or APIs.
• Use the Service to infringe intellectual property or privacy rights of others.
• Reverse engineer or resell the Service except as expressly permitted.

4. Accounts

Keep your account information accurate and your credentials secure. Sign-in is handled by our authentication provider. You are responsible for all activity under your account. Notify us promptly at Info@SoliContrax.com if you suspect unauthorized access.

5. Your content

You retain ownership of content you upload or create ("Your Content"). You grant SoliContrax a worldwide, non-exclusive license to host, process, reproduce, and display Your Content solely to operate and improve the Service — including transmitting portions to AI subprocessors to provide features you request.

You represent that you have all rights necessary to upload Your Content and that it does not violate law or third-party rights. Solicitations and client files may contain personal data about others; you are responsible for providing any required notices and obtaining any required consents.

6. AI-generated content

The Service uses large language models to assist with extraction, drafting, scoring, and chat. Outputs are suggestions only and may contain errors, omissions, or biased language. We do not guarantee that outputs will meet solicitation requirements or win awards.

You are solely responsible for final proposals and submissions. Automated scores or recommendations (such as concept grades) are advisory tools, not decisions with legal effect.

7. Credits and billing

Certain features consume credits purchased through the Service. Prices and packages are shown at checkout, and payments are handled by our payment processor. Except where required by law, fees are non-refundable once credits are delivered. We may change pricing or feature costs with reasonable notice.

Promo codes and starter credits are offered at our discretion and may be modified or discontinued. Abuse of billing or promotional programs may result in suspension.

8. Privacy and cookies

Our collection and use of personal information is described in the Privacy Policy and Your Privacy Choices section of our Privacy Policy. The Service uses essential cookies and similar technologies for authentication and security, and may store your cookie-notice preference in local storage. See the Cookies section for details.

9. Intellectual property

The Service, including software, design, and branding (excluding Your Content), is owned by SoliContrax or its licensors and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or trade dress.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLICONTRAX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend and indemnify SoliContraxagainst claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Suspension and termination

We may suspend or terminate your access if you violate these Terms, pose a security risk, or if we discontinue the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (including limitations of liability, indemnity, and intellectual property) will survive.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.

15. Changes

We may modify these Terms from time to time. We will post the updated version on this page and update the "Last updated" date. Material changes may require you to accept the updated Terms in the Service before continued use.
